By using any of Ipsos’ Services, the user ("You") agree(s) to be bound and to comply with these
terms and the terms and conditions of Ipsos’ privacy policy, which
are incorporated herein by reference, as well as all applicable laws. You must follow any policies made available to you within the Services.
The privacy policy explains how Ipsos treats your personal data, and protects your privacy, when you use the Services.
By using our Services, you agree that Ipsos can use such personal data in accordance with our privacy policy.
We may change these terms and/or privacy policy from time to time without notice to you, and you are responsible
for the then current version of the terms and policies in effect at all times. If you do not agree to be bound
by these terms or privacy policy, you may not use these Services or this portal.
In connection with your use of the Services, we may send you service announcements, administrative messages, and
other information. You may opt out of some of those communications.
Rights to Use of Services
Ipsos grants you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to
use the system(s) as part of the Services being provided to you by Ipsos. This license is for the sole purpose
of enabling you to use and enjoy the benefit of the Services, in the manner permitted by these terms. Except
where expressly provided herein, unless Ipsos has given you specific written permission to do so, you may not, and
you may not permit anyone else to, copy, modify, create a derivative work of, used for aggregation or seat models,
reverse engineer, decompile or otherwise attempt to extract the content, materials, data, source code or any other
information of the Services or any part thereof. Except where expressly provided herein, unless Ipsos has given
you specific written permission to do so, you may not assign (or grant a sub-license of) your rights to use the
Services, grant a security interest in or over your rights to use the Services, or otherwise transfer any part
of your rights to use the Services.
Intellectual Property
Ipsos must honor the agreements it has with its affiliates, partners, vendors and respondents. To that end, no
publication, reproduction or communication of such Services and Content (as defined below) to the public is
authorized except in the specific cases set out in the federal Copyright Act, upon granting of a license by
Ipsos, or upon granting of clear permission for a particular subject or activity in writing by Ipsos or the
relevant owner.
Using our Services does not give you ownership of any intellectual property rights in our Services or the
Content you access. You may not use our Services or Content unless you obtain permission from the applicable
owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos
used in our Services.
The content included in the Services including without limitation, the text, software, scripts, graphics,
photos, sounds, videos, interactive features and the like ("Content") and the trademarks, service marks and
logos contained therein ("Marks"), are owned by or licensed to Ipsos subject to copyright and other intellectual
property rights under applicable law. Content is provided to you AS IS for your information and personal use
only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or
otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners.
Ipsos reserves all rights not expressly granted in and to the Services and the Content. You agree to not engage
in the use, copying, or distribution of any of the Services and Content other than expressly permitted herein.
If you download or print a copy of the Services and Content for personal use, you must retain all copyright and
other proprietary notices contained therein. You will not remove, obscure, or alter any legal notices displayed
in or along with our Services and Content. You agree not to circumvent, disable or otherwise interfere with
security-related features of the Services or features that prevent or restrict use or copying of any Services
and/or Content or enforce limitations on use of the Services or the Content therein.
Copyright and Trademark policies
It is Ipsos' policy to respond to notices of alleged copyright infringement that comply with applicable
international intellectual property law (including, without limitation, in the United States, the Digital
Millennium Copyright Act) and to terminating the accounts to repeat infringers.
Other Content
Our Services display some content that is not Ipsos’. This content is the sole responsibility of the entity
that makes it available. We may review content to determine whether it is illegal or violates our policies, and
we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that
does not necessarily mean that we review content, so please don’t assume that we do.
The Services may include hyperlinks to other websites or content or resources that are not owned or
controlled by Ipsos, Ipsos has no control over, and assumes no responsibility for, the content, privacy
policies, or practices of any third party websites or resources which are provided by companies or persons
other than Ipsos. You acknowledge and agree that Ipsos is not responsible for the availability of any such
external sites or resources, and does not endorse any advertising, products, or other materials on or available
from such websites or resources. You acknowledge and agree that Ipsos is not liable for any loss or damage
which may be incurred by you as a result of the availability of those external sites or resources, or as a result
of any reliance place by you on the completeness, accuracy or existence of any advertising, products, or other
materials on, or available from, such websites or resources. We encourage you to be aware when you leave the Ipsos
site and Services and to read the applicable terms and conditions and privacy policy of each other website
that you visit.
User Restrictions
You agree that:
- You will not tamper with or otherwise interfere or attempt to interfere in any manner with the
functionality or proper working of the Services or site.
- You will not make illegal use of the Services or use it for purposes which are illegal.
- You will not interfere with anyone else who is a user of the Services in their use of the Services.
- You will follow and comply with all applicable laws, rules and regulations.
- You will not attempt to gain access to our computer system or any other computer systems.
- You will not remove, obscure, or alter any notice of any logo, trademark, or other intellectual property
or proprietary right designation appearing on or contained within the Services.
- You will not access (or attempt to access) any product or services offered via the Services by any means
other than the interface that is provided by Ipsos.
Accounts and Passwords
You agree and understand that you are responsible for maintaining the confidentiality of passwords
associated with any account you use to access the Services. Accordingly, you agree that you are solely
responsible to Ipsos for all activities that occur under your account. If you become aware of any
unauthorized use of your password or your account, you agree to notify Ipsos immediately
at Ihaveaquestion@ipsos.com.
Your Content in our Services
Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership
of any intellectual property rights that you hold in that content.
When you upload, submit, store, send or receive content to or through our Services, you give Ipsos
(and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such
as those resulting from translations, adaptations or other changes we make so that your content works better
with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The
rights you grant in this license are for the limited purpose of operating, promoting, and improving our
Services, and to develop new ones. This license continues even if you stop using our Services. Some
Services may offer you ways to access and remove content that has been provided to that Service. Also, in
some of our Services, there are terms or settings that narrow the scope of our use of the content submitted
in those Services. Make sure you have the necessary rights to grant us this license for any content that you
submit to our Services.
Monitoring
We reserve the right to log, review, and otherwise examine any information stored on or passing through
our networks or systems.
Downtime and Service Suspensions
Your access to and use of the Services may be suspended for the duration of any anticipated, unanticipated,
scheduled or unscheduled downtime, maintenance, system updates, malfunction, or other unavailability of any
portion or all of the Services for any reason, including as a result of power outages, system failures or
other interruptions. We shall also be entitled, without any liability to you, to suspend access to any
portion or all of the Services at any time on a system-wide basis: (a) for scheduled downtime to
permit us to conduct maintenance or make modifications to any Services; (b) in the event of a denial
of service attack or other attack on the Services or other event that we determine, in our sole discretion, may
create a risk to the applicable Services, to you or to any of our other customers if the Services were not
suspended; or (c) in the event that we determine that any Services are prohibited by law or we otherwise
determine that it is necessary or prudent to do so for legal or regulatory reasons.
About Software in our Services
When a Service requires or includes downloadable software, this software may update automatically
on your device once a new version or feature is available. Some Services may let you adjust your
automatic update settings.
Ipsos gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to
use the software provided to you by Ipsos as part of the Services. This license is for the sole
purpose of enabling you to use and enjoy the benefit of the Services as provided by Ipsos, in the
manner permitted by these terms. You may not copy, modify, distribute, sell, or lease any part
of our Services or included software, nor may you reverse engineer or attempt to extract the source
code of that software, unless laws prohibit those restrictions or you have our written permission.
Use of Cookies or Other Technology Requirements
In order to provide these Services to you, quality control, validation and other requirements which
you are notified, you agree that we may place and store on your computer "cookies". You also agree
that we may automatically capture information about your IP Address, operating system, screen display
settings, browser type, use of Flash and Java.
You agree that we may also use digital fingerprinting technology, also known as "Machine Identification"
digital fingerprints, to gather certain information about your computer hardware and software, for example, your
IP address, the display settings of your monitor, the type of browser you are using, the type of operating
system you are using, etc. This information is sent to our trusted third-party partner who converts it into a
unique serial number - the digital "fingerprint" - and determines if it matches previous fingerprints.
The data collected in this process and the digital fingerprint created is not tied to any of your personal
data, is stored on secured servers, and is used only to help track users and the Services and Content which
they access, or as specifically provided through separate notice to you and for no other purpose.
As part of the services, we may also read cookies placed when you visit other websites to see if you have
visited the website of, or been exposed to certain online advertising placed on websites by of one of our
clients.
By agreeing with these terms and using the Services, you explicitly consent to the use of cookies and
authorize Ipsos to place and use cookies on your computer, to use the digital fingerprinting technology
upon your computer hardware and software, capture and store information about your IP Address, operating
system, screen display settings, browser type, and use of Flash and Java. It is also possible for you to
delete "cookies" or to prevent their use by adjusting the browser settings on your computer.
Subject to your prior agreement, we may also install advanced cookies or similar code that can
identify tags attached to certain web-sites or on-line advertisements relating to our clients and/or
their products. Alternatively, again subject to your prior agreement, scan for and read cookies or code
installed by other websites that you may have visited. The information obtained in this way will be used
to help us provide these Services to you, or for other research into internet usage.
Modifying and Terminating our Services
We are constantly changing and improving our Services. We may add or remove functionalities or
features, and we may suspend or stop a Service altogether.
You can stop using our Services at any time, although we’ll be sorry to see you go. Ipsos may also
stop providing Services to you, or add or create new limits to our Services at any time.
We believe that you own your data and preserving your access to such data is important. If we
discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a
chance to get information out of that Service.
Our Warranties and Disclaimers
Except as specifically set forth in this Agreement, Ipsos makes no other representations or
warranties, express or implied, including without limitation any warranty of merchantability or
fitness for a particular purpose, with respect to the Services. You agree that use of the Services is at
your sole risk. The Services are provided on an "as is" and "as available" basis.
Neither Ipsos nor its partners, agents, affiliates, or designees nor each of their respective
officers, directors, employees, agents, contractors, subcontractors or the
like (collectively, "Associates") warrant that use of the Services will be uninterrupted or error-free.
Under no circumstances shall Ipsos or it Associates be liable for any direct, indirect, incidental,
special, exemplary, punitive or consequential damages that result from , arise out of or otherwise
relate to your use of or inability to use the Services, or any website linked to the Services, including
but not limited to reliance by you on any information obtained from the Services that results in
mistakes, omissions, interruptions, deletion or corruption of files, viruses, delays in
operation or transmission, or any failure of performance, or any loss of profit, loss of goodwill or
data, or cost of procurement of substitute goods or services or other intangible loss suffered.
The Services utilize industry accepted security systems in an attempt to eliminate unauthorized
access to private information. By using the Services, you expressly agree to not hold Ipsos or
its Associates liable in the event of unauthorized access and subsequent use of your company and/or
personal data. The foregoing limitation of liability shall apply in any action, whether in contract, tort
or any other claim, even if an authorized representative of Ipsos has been advised of or should have
knowledge of the possibility of such damages.
You agree to defend, indemnify and hold harmless Ipsos and any of its Associates, from and
against any and all claims, damages, obligations, losses, liabilities, cost or debt, and
expenses (including but not limited to attorney's fees) arising from: (i) your use of and access
to the Services; (ii) your violation of any of these terms; or (iii) your violation of any third
party right, including without limitation any copyright, property, or privacy right. This
defense and indemnification obligation will survive the termination of these terms and your use of the Services.
Business uses of our Services
If you are using our Services on behalf of a business, that business accepts these terms. It
will hold harmless and indemnify Ipsos and its affiliates, officers, agents, and employees from
any claim, suit or action arising from or related to the use of the Services or violation of these terms, including
any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and
attorneys’ fees.

Severability
If any portion of these terms are held by a court of competent jurisdiction to be invalid or unenforceable, the
remaining portions of these terms will remain in full force and effect, and any invalid or unenforceable portions
shall be construed in a manner that most closely reflects the effect and intent of the original language.
If such construction is not possible, the provision will be severed from these terms, and the rest of the
terms shall remain in full force and effect.
Waivers
The failure by us to enforce any provision of these terms shall in no way be construed to be a present or
future waiver of such provision nor in any way affect our right to enforce such provision thereafter.
All waivers by us must be in writing to be effective.
Successors and Assigns
This Agreement will be binding upon, and inure to the benefit of the parties and their respective
successors and assigns.
This Agreement, and any rights and licenses granted hereunder, may not be transferred or
assigned by you, but may be assigned by Ipsos without restriction.
Relationship
Nothing in this Agreement is intended to or does create any type of joint venture, creditor-debtor, escrow,
partnership or any employer/employee or fiduciary or franchise relationship between you and us (or any of our
Associates).
About these Terms
You agree that we may modify this Agreement or any policy or other terms at any time and at our
sole discretion. By using the Services, you agree to be bound by any such modifications and should
therefore periodically visit this page to determine the then current terms to which you are bound. You
will note that at the bottom of the terms, the date of last modification is indicated. You are encouraged
to check the revision date with each use to ensure you are comfortable with the latest revisions. If you are
dissatisfied with the Services, its content or the terms as they may be revised, you agree that your sole and
exclusive remedy is to discontinue using the Services.
Governing Law and Jurisdiction
These terms shall be governed by and construed in all respects in accordance with the laws of the
Province of Ontario without regard to conflicts of law principles that would require the application
of any other law. In the event of any dispute arising out of or relating to these terms, the parties hereby
consent to exclusive jurisdiction and venue in Toronto, Ontario, for the purpose of any legal proceeding
relating to or arising in connection with these terms. Notwithstanding this, you agree that Ipsos shall
still be entitled to apply for any necessary injunctive remedies in any jurisdiction.
Entire Agreement
This constitutes the entire agreement between you and us regarding the subject matter hereof and
supersedes any and all prior or contemporaneous representation, understanding, agreement, or
communication between you and us, whether written or oral, regarding such subject matter.
